Driver Terms and Conditions

1. Acceptance and scope

These Terms govern the relationship between ToGate and the individual who registers on the platform as a driver ("Driver"). Submitting the application form or using the platform constitutes full acceptance of these Terms.

ToGate is exclusively a technology intermediation platform. The relationship between ToGate and the Driver does not constitute an employment, agency, franchise or any form of working relationship.

2. Declaration of truthfulness

The Driver declares, under their own responsibility, that all information provided during registration and at any subsequent time is truthful, complete, accurate and up to date.

The Driver specifically declares that: (i) they hold a valid NCC (private hire) licence issued by the competent authority; (ii) the declared vehicle is properly registered, insured with valid third-party liability cover and subject to mandatory inspections; (iii) they meet all legal requirements to carry out passenger transport; (iv) no circumstances prevent them from operating.

ToGate reserves the right to suspend or revoke access to the platform at any time if the information provided proves to be false, inaccurate or incomplete.

3. Driver responsibility for service execution

The Driver is solely responsible for the physical execution of every Ride. ToGate does not participate in the transport and assumes no liability for what occurs during the Ride.

The Driver undertakes to perform every Ride with professional diligence, in compliance with the Highway Code and all applicable regulations on passenger transport.

The Driver is fully and personally liable for any physical injury, personal harm, death or property damage caused to passengers, third parties or property during the Ride. Such liability is covered by the Driver's motor insurance policy.

In the event of delays, incidents or any other issue related to the Ride, the Driver is responsible for managing the situation directly with passengers and, where applicable, with the relevant authorities.

4. NCC licence and insurance obligations

The Driver undertakes to keep their NCC licence valid and to promptly notify ToGate of any suspension, revocation or amendment.

The Driver undertakes to maintain an active motor insurance policy with coverage adequate for fee-paying passenger transport throughout their presence on the platform.

ToGate has the right to request updated documentation at any time. Failure to provide it within the requested timeframe will result in account suspension.

5. Indemnification of ToGate

The Driver agrees to indemnify and hold harmless ToGate, its partners, employees, collaborators and successors from any claim, demand for compensation, damage, loss, cost or expense (including legal fees) arising from: (i) breach of these Terms; (ii) false information provided; (iii) execution or non-execution of Rides; (iv) any conduct of the Driver towards passengers or third parties.

6. Fees and payments

ToGate reserves the right to charge fees for use of the platform; the terms and percentages will be communicated to the Driver prior to activation of the commercial account.

Payments to Drivers follow the methods communicated at activation and may be amended with 30 days' notice.

7. Governing law and jurisdiction

These Terms are governed by Italian law. The Court of Milan shall have exclusive jurisdiction over any dispute.
